1. Agreement to Terms
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and TwoChi LLC (“TwoChi,” “we,” “us,” or “our”), governing your access to and use of the Mailtrix desktop application (“App”), the website at mailtrix.pro (“Website”), and all related services, features, and content (collectively, the “Services”).
BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.
You represent that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services
Mailtrix is an AI-powered email assistant for Microsoft Outlook Desktop Classic. The Services include:
- A desktop application that integrates with Microsoft Outlook via local COM automation
- AI-assisted email reading, searching, composing, and organizing via third-party large language model (LLM) providers
- A license management and billing system
- A managed AI proxy for users without their own API keys
- A server-driven model registry
The Services are designed to operate locally on your Windows computer. Email data is processed on your device and is not transmitted to TwoChi servers. AI prompts containing email context you choose to share are sent to third-party AI providers as described in Section 8.
3. Account Registration
3.1 Account Creation
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You are responsible for all activities that occur under your account. You must immediately notify us at hello@twochi.com if you become aware of any unauthorized use of your account. TwoChi shall not be liable for any loss arising from unauthorized use of your account where you have failed to maintain account security.
3.3 One Account Per User
Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits, bans, or for any other purpose is prohibited and may result in termination of all associated accounts.
4. Licensing and Subscriptions
4.1 License Grant
Subject to your compliance with these Terms and payment of applicable fees, TwoChi grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a single Windows computer for your personal or internal business purposes.
4.2 License Tiers
The Services are offered under the following tiers:
- Free: Limited to 50 AI requests per month, restricted model selection, and access via managed proxy only.
- Pro: Expanded request limits, full model selection, and priority features, for a recurring subscription fee.
- BYOK (Bring Your Own Key): Users who provide their own API keys for supported AI providers may use the App without request limits imposed by TwoChi. Usage is subject to the respective AI provider's terms and rate limits.
4.3 License Restrictions
You shall not:
- Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the App or any part thereof
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent permitted by applicable law
- Remove, alter, or obscure any copyright, trademark, or proprietary notices
- Use the App on more devices than your license permits
- Share, transfer, or allow others to use your license key or account credentials
- Circumvent or attempt to circumvent any license validation, usage limits, rate limiting, or access controls
- Use automated scripts, bots, or other means to interact with the Services in a manner not intended by TwoChi
4.4 Machine Binding
Your license key is bound to a single machine identifier. If you need to transfer your license to a new machine, contact hello@twochi.com.
5. Payment and Billing
5.1 Fees
Pro subscriptions require payment of recurring fees as displayed on the Pricing page at the time of purchase. All fees are stated in U.S. dollars unless otherwise indicated.
5.2 Payment Processing
All payments are processed by Stripe, Inc. By purchasing a subscription, you agree to Stripe's Terms of Service. TwoChi does not store your payment card details.
5.3 Recurring Billing
Pro subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. You authorize TwoChi (via Stripe) to charge your payment method on each renewal date. The renewal price may change; we will notify you of any price increase at least 30 days before it takes effect.
5.4 Cancellation
You may cancel your subscription at any time through the Stripe customer portal accessible from the App or Website. Upon cancellation, your Pro access continues until the end of the current paid billing period, after which your account reverts to the Free tier. No partial refunds are issued for unused time within a billing period.
5.5 Refund Policy
All fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact hello@twochi.com within 14 days of the charge and we will review your request in good faith.
5.6 Taxes
Fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and levies imposed by taxing authorities in your jurisdiction. TwoChi will collect taxes where legally required.
5.7 Failed Payments
If a payment fails, we may retry the charge and/or suspend your access to Pro features until payment is successfully collected. Continued failure to pay may result in termination of your subscription and downgrade to the Free tier.
6. Acceptable Use Policy
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Send spam, phishing emails, malware, or other unsolicited or harmful communications
- Harass, threaten, defame, or intimidate any person
- Generate, store, or transmit content that is illegal, obscene, or promotes violence or discrimination
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Attempt to gain unauthorized access to any systems, networks, or accounts
- Interfere with or disrupt the integrity or performance of the Services or related infrastructure
- Use the AI features to generate content that violates the acceptable use policies of the underlying AI providers
- Use the Services to develop competing products or services, or to benchmark the Services for competitive purposes
- Scrape, crawl, or use automated means to extract data from the Website or Services
- Circumvent, disable, or interfere with any security features, rate limits, or access restrictions
- Use the Services in any manner that could damage, disable, overburden, or impair the Services
TwoChi reserves the right to investigate and take appropriate action against anyone who violates this Section, including suspending or terminating the offender's account and reporting the conduct to law enforcement authorities.
7. Intellectual Property
7.1 TwoChi's Ownership
The Services, including the App, Website, and all content, features, functionality, software, code, designs, text, graphics, logos, trademarks, and other materials (collectively, “TwoChi Content”), are owned by TwoChi or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 Your Content
You retain ownership of all content you input into or generate through the Services (including email content and AI prompts). You grant TwoChi no rights to your content beyond what is strictly necessary to provide the Services (e.g., transiently routing your prompts to an AI provider). TwoChi does not claim any ownership over your emails, prompts, or AI-generated responses.
7.3 AI-Generated Content
Content generated by AI models through the Services is subject to the terms and output ownership policies of the respective AI provider. TwoChi makes no claim of ownership over AI-generated content and makes no representation regarding your right to use, publish, or distribute such content. You are solely responsible for ensuring your use of AI-generated content complies with applicable laws and third-party rights.
7.4 Feedback
If you provide feedback, suggestions, or ideas regarding the Services (“Feedback”), you grant TwoChi a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, modify, and incorporate such Feedback into the Services without any obligation or compensation to you.
7.5 DMCA / Copyright Infringement
If you believe that any content available through the Services infringes your copyright, please notify us at hello@twochi.com with the information required by the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512(c)(3).
8. Third-Party Services and AI Providers
8.1 AI Provider Terms
The Services integrate with third-party AI providers including Anthropic (Claude), OpenAI (GPT), and Google (Gemini). Your use of AI features is subject to the applicable provider's terms of service and acceptable use policies in addition to these Terms. You are responsible for reviewing and complying with those terms.
8.2 BYOK Responsibility
If you use BYOK mode with your own API keys, you are solely responsible for:
- Compliance with the AI provider's terms, usage policies, and rate limits
- All charges incurred with the AI provider
- The security of your API keys (TwoChi stores them locally on your device in the Windows Credential Manager but is not liable for key compromise due to malware, unauthorized access to your device, or other factors outside our control)
8.3 Microsoft Outlook
The App integrates with Microsoft Outlook Desktop Classic via local COM automation. Your use of Outlook is governed by your agreement with Microsoft. TwoChi is not affiliated with, endorsed by, or sponsored by Microsoft Corporation. Mailtrix is an independent product. TwoChi is not responsible for any changes Microsoft makes to Outlook that may affect the App's functionality.
8.4 Stripe
Payment processing is provided by Stripe, Inc. Your use of Stripe's services is subject to the Stripe Connected Account Agreement.
8.5 No Endorsement
Reference to any third-party product, service, or company does not constitute or imply endorsement, recommendation, or affiliation. TwoChi is not liable for any acts, omissions, or failures of third-party service providers.
9. AI-Specific Disclaimers
YOU ACKNOWLEDGE AND AGREE THAT:
- AI is not infallible. AI-generated content may contain errors, inaccuracies, hallucinations, biases, or inappropriate material. You must independently verify and review all AI-generated content before relying on it or sending it to others.
- You are responsible for AI-composed emails. If you use the AI features to draft, compose, reply to, or forward emails, you are solely responsible for reviewing the content before sending. TwoChi bears no responsibility for emails sent using AI-generated content.
- AI actions on your behalf. The App may perform actions in Outlook (such as moving emails, creating calendar events, or marking items as read) based on AI tool calls. You acknowledge that these actions are performed at your direction and TwoChi is not liable for unintended consequences of AI-initiated actions.
- No professional advice. AI-generated content does not constitute legal, financial, medical, or other professional advice. Do not rely on AI outputs as a substitute for qualified professional consultation.
- Content sent to AI providers. When you use AI features, information from your Outlook (email content, calendar data, contacts, etc.) may be included in prompts sent to third-party AI providers. You are responsible for ensuring that sharing such information complies with your obligations (e.g., confidentiality agreements, data protection laws, employer policies).
- AI provider changes. Third-party AI providers may change, deprecate, or discontinue their models or services at any time. TwoChi does not guarantee the continued availability of any specific AI model or provider.
10. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, TWOCHI DOES NOT WARRANT THAT:
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from the Services (including AI-generated content) will be accurate, reliable, or complete
- The Services will meet your requirements or expectations
- Any errors or defects in the Services will be corrected
- The Services will be compatible with any specific version of Microsoft Outlook or Windows
- Third-party AI providers will remain available or maintain consistent quality
- The App will not interfere with other software on your computer
You assume all risk for your use of the Services. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above limitations may not apply to you. In such cases, our liability is limited to the maximum extent permitted by law.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TWOCHI, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, punitive, or exemplary damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages arising from unauthorized access to or alteration of your data or transmissions
- Damages resulting from AI-generated content, including but not limited to emails sent based on AI suggestions
- Damages resulting from actions performed by the App in Outlook (moving, deleting, or modifying emails, calendar events, or other data)
- Damages arising from any third-party service provider's acts, omissions, or service disruptions
- Damages arising from your failure to maintain the security of your account, credentials, or API keys
- Cost of procurement of substitute goods or services
IN ANY CASE, TWOCHI'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO TWOCHI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if TwoChi has been advised of the possibility of such damages. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless TwoChi, its officers, directors, members, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms or any applicable law or regulation
- Your violation of any third-party rights, including intellectual property rights or privacy rights
- Any content you input, transmit, or generate through the Services
- Any emails sent using AI-generated content
- Your use of BYOK API keys, including charges incurred with AI providers
- Any unauthorized access to your account resulting from your failure to maintain account security
- Your breach of any confidentiality or data protection obligations when sharing information with AI providers through the Services
TwoChi reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of any claim.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at hello@twochi.com and attempt to resolve the dispute informally for at least 30 days.
14.2 Binding Arbitration
If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitrationadministered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be in the State of Delaware, United States, unless otherwise agreed by the parties.
The arbitrator's award shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction. The arbitrator may award injunctive or declaratory relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
14.3 Class Action Waiver
YOU AND TWOCHI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
14.4 Exceptions
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction. Either party may also seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
14.5 Opt-Out
You may opt out of the arbitration and class action waiver provisions within 30 days of first accepting these Terms by sending written notice to hello@twochi.com with the subject line “Arbitration Opt-Out” and including your name, email address, and a clear statement that you wish to opt out. If you opt out, disputes will be resolved in court as described in Section 15.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. If the arbitration provision in Section 14 does not apply (whether by opt-out or exception), you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the State of Delaware for any disputes arising out of or relating to these Terms.
16. Termination
16.1 Termination by You
You may stop using the Services at any time. You may cancel your subscription as described in Section 5.4. You may request deletion of your account by contacting hello@twochi.com.
16.2 Termination by TwoChi
TwoChi may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to:
- Violation of these Terms or the Acceptable Use Policy
- Non-payment of fees
- Fraudulent or illegal activity
- Extended inactivity
- At our sole discretion, with or without cause, upon reasonable notice
16.3 Effect of Termination
Upon termination:
- Your license to use the App is immediately revoked
- Your license key will be deactivated
- You must uninstall the App from your device
- Any outstanding fees become immediately due
- Sections that by their nature should survive termination shall survive, including Sections 7 (Intellectual Property), 9 (AI Disclaimers), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution), 15 (Governing Law), and 17 (General Provisions)
17. General Provisions
17.1 Modifications to Terms
TwoChi reserves the right to modify these Terms at any time. We will notify you of material changes by updating the “Last updated” date and, for significant changes, by email or prominent notice on the Website. Your continued use of the Services after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
17.2 Modifications to Services
TwoChi reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
17.3 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and TwoChi regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
17.4 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable (or severed if modification is not possible), and the remaining provisions shall continue in full force and effect.
17.5 Waiver
The failure of TwoChi to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by TwoChi.
17.6 Assignment
You may not assign or transfer these Terms or any rights hereunder without TwoChi's prior written consent. TwoChi may assign these Terms, in whole or in part, without restriction. These Terms are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
17.7 Force Majeure
TwoChi shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, third-party service failures (including AI providers, cloud infrastructure, and payment processors), power outages, or internet disruptions.
17.8 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
17.9 Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and sanctions programs maintained by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC). You may not use or export the Services in violation of these laws.
17.10 U.S. Government End Users
The App is a “commercial item” as defined in 48 C.F.R. § 2.101, consisting of “commercial computer software” and “commercial computer software documentation.” If acquired by or on behalf of any agency of the U.S. Government, use, duplication, or disclosure is subject to the restrictions set forth in these Terms.
